Terms of Service
Effective October 11, 2026. These terms apply when you use usemeritai.com, the Merit AC dashboard, or buy anything on this site. Merit AC is operated by Clark X Group LLC ("we", "us"). By using the site or buying from it, you agree to these terms. If you're using it for a company, you agree on that company's behalf and confirm you're allowed to.
1. What we offer
Free content (news, guides, prompts, a models directory and glossary); the Merit spend tracker dashboard; downloadable software (Operator OS and the Labs products); courses (Build Along, the 30-day challenge, AI Skills Academy); services (consultations and capstone build reviews); and waitlists for products that aren't available yet.
2. Content is information, not advice
News, guides, prompts and product output are general information. They are not legal, financial, tax, accounting or employment advice, and they can contain mistakes. Check anything important with a qualified professional before relying on it.
3. Accounts
Give accurate information, keep your sign-in details private, and tell us if you think your account has been misused. You're responsible for what happens under your account. The admin of an organization account controls who can access that organization's data.
4. Your data in the spend tracker
Data your organization sends into Merit AC stays yours. You give us permission to store and process it only to provide the service to you. You're responsible for having the right to send it -- including telling your staff, and any notices or consents your local law requires. How we handle it is described in our privacy policy.
5. Prices and payment
Prices are shown in US dollars next to each product. Payment is taken through Stripe's checkout. For some products Stripe acts as the reseller (merchant of record), and Stripe's own terms also apply to that sale. Sales tax or VAT may be added at checkout. Monthly subscriptions (the spend tracker and AI Skills Academy) renew each month until you cancel; cancelling stops future charges, and access continues to the end of the period you've paid for.
6. Refunds
All sales are final. No refunds, except where required by law. Where a product's own license grants you a broader refund right, that license controls for that product.
7. Delivery
After checkout we email you what you bought -- access details, license details, or a time to schedule your session -- within one business day. If you haven't heard from us, contact us.
8. Software licenses
- Merit AC software is governed by the Merit AC license.
- Operator OS is governed by the Operator OS license.
- Labs commercial licenses (Portamp, Financert, The All Dash, PrivaShield, Toneara) give one business a non-exclusive, non-transferable right to use that product internally, as delivered. You may not resell, sublicense or redistribute it. Where a product's source is also published under an open-source license, that license still applies to the published code; the commercial license is in addition to it, not a replacement.
9. Courses and digital content
Course access is for the person who bought it. Don't share your access or republish course material. Lessons, prompts and example code may be used in your own work.
10. Services
Consultations are booked by email after purchase and delivered as a live working session of the length you paid for. A capstone build review is a written review of the repository you name at checkout; make sure we can read it.
11. Products not yet available
Joining a waitlist or requesting a demo doesn't commit either of us to anything. A product described as coming soon may change, be priced differently, or not launch.
12. Acceptable use
Don't break the law using the site; attack, overload or try to get around the security of our systems; access another organization's data; send data you have no right to send; or copy the site in a way that disrupts it.
13. Ownership
We own the site, the software and our content, except where a product's license says otherwise. You own your data and anything you build with what you learn here.
14. No warranty
The site, software, content and services are provided "as is" and "as available", without warranties of any kind, to the extent the law allows. We don't promise they'll be uninterrupted, error-free, or fit a particular purpose.
15. Limit of liability
To the extent the law allows, we aren't liable for indirect, incidental or consequential losses, or for lost profits, revenue or data. Our total liability for any claim is limited to what you paid us in the 12 months before the claim. Nothing here limits liability that can't legally be limited.
16. Ending access
You can stop using the site at any time. We may suspend or end access for anyone who breaks these terms. Sections that by their nature should survive (licenses you've paid for, ownership, no warranty, limit of liability) continue after that.
17. Governing law
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. If you're a consumer, you keep any protections the law where you live gives you.
18. Changes
We may update these terms. We'll change the date at the top, and the version in effect when you buy something applies to that purchase.
