AI research startup Listen Labs dropped a signed $1.5B term sheet for Salesforce talks

A Menlo Ventures-led Series C at a $1.5 billion valuation was signed but never closed once Salesforce acquisition talks -- reportedly worth around $2 billion -- opened up instead.

Listen Labs walked away from a signed Series C term sheet -- $125 million at a $1.5 billion valuation, led by Menlo Ventures -- to pursue acquisition talks with Salesforce instead, TechCrunch reported September 9, 2026, citing several people with knowledge of the matter. Business Insider had previously reported the Salesforce deal could be worth around $2 billion. Listen Labs, Salesforce, and Menlo Ventures all declined to comment, and the talks aren't finalized.

What Salesforce would be buying

Listen Labs uses voice AI to run automated customer interviews: the platform writes survey questions, conducts audio and video interviews, and generates research reports and slide decks that mimic traditional market-research output. Its customer list includes Microsoft, Canva, Anthropic, and Sweetgreen. For Salesforce, which has been acquisitive around AI-native customer-facing tools, a company that automates the qualitative-research function slots into the same push to own more of the pre-sales and customer-insight workflow that its core CRM already touches.

A skipped funding round is the interesting part

Companies that walk away from a signed, priced term sheet to instead entertain a sale are implicitly saying the acquisition math beat the primary-market math -- a notable reversal in a year when AI startups have mostly preferred staying independent at ever-higher markups over selling. Listen Labs' prior round, a $69 million Series B at a $500 million valuation just seven months earlier, shows how fast both paths were moving simultaneously: a nearly 3x markup was on the table from VCs at the same moment a strategic acquirer was offering roughly 4x that value to buy the company outright.
