Character.AI files for Chapter 11, with Disney bidding $20M for a license to some of its IP
The chatbot company is running a court-supervised sale due to close by early December. The app stays up for now, but if no buyer will keep it running, it will be wound down.
Character Technologies, the company behind Character.AI, filed for voluntary Chapter 11 bankruptcy on October 12 in the US Bankruptcy Court for the District of Delaware (case 26-11603), to run a court-supervised sale of all or substantially all of its assets. The company blamed "significant legal, regulatory, and operational headwinds" and says it expects the sale to finish by the end of November or early December 2026. Reuters, citing a court filing, reports the company listed estimated assets and liabilities of between $50 million and $100 million. According to The Hollywood Reporter, the docket lists Google as the largest creditor, owed more than $4 million.
Disney's bid, and what it covers
A Disney subsidiary, Disney Worldwide Services, is the stalking-horse bidder at $20 million. Per the filing quoted by The Hollywood Reporter, the bid is for a non-exclusive perpetual license to certain company intellectual property and certain company claims. As stalking horse, Disney sets the floor and other bidders can top it. The deal follows Disney's hiring last month of Character.AI's then-CEO Karandeep Anand as its chief technology officer. The Hollywood Reporter says the filing names former Character.AI employees who joined him as providers of transition services so the company can keep operating its platform for a limited time while the sale runs.
Why it matters
Character.AI says the platform remains up, subscriptions stay active and billing is unchanged for now, and users can still export their data. But it's explicit about the downside: if no buyer will keep the service running, the platform will be wound down. This is a consumer app, but the pattern applies to any AI vendor: key people and a license to the technology can go to someone else while the product's own future is still undecided, and a paid subscription lasts only as long as the platform. For each AI tool your company pays for, know where the data export is and what happens to your workflows if the service stops.
